Employee Stock Ownership Plan (ESOP)
October is National ESOP month, and as such, we celebrate in a variety of ways. In October 2007, we had 3 additional reasons to celebrate: Two long-time employees retired at the end of the month and in October, our field employees achieved an additional 500,000 hours of Safe Work with no Lost Time Injuries. Highlights of Midwest ESOP
The ESOP plan became effective January 1, 1999.
The
ESOP plan became 100% employee-owned as of December, 2002.
The ESOP should be considered a long-term retirement type of plan and is funded on a pre-tax basis. The idea is to hold the stock, which should increase in value, as our Employee-Owners work smart.
The ESOP owns 100% of MMC Corp, making the company 100% employee-owned.
This is a free benefit for all non-union employees who meet the plan eligibility guidelines.
ESOP accounts have two components:
1). Employer-matching 401(k) contributions. The company will match 100% (dollar for dollar) on contributions you make in the 401(k) plan up to 3% of your pay. The company will match 50% of your contribution on the next 2% of your pay.
2). Discretionary Contributions, which are a reflection of overall company performance. The company may contribute to your account in the form of cash or stock, either one.
Eligibility / Enrollment
Generally, all employees of the company and its subsidiaries who are paid as employees ( receive W-2's) are eligible for the plan. However, leased employees; individuals who are deemed by the Company or its affiliate to be independent contractors; certain union employees; and employees who are non-resident aliens with no U.S. source income may not participate in the plan.
Miscellaneous
MMC Corp ESOP has a Communications and Advisory Committee in place. The associates of all MMC Corp and its subsidiaries have elected representatives to serve on a plan advisory committee. The purpose of this committee is:
To become trained on the inner-workings of the ESOP and communicate this information to our company participants.
To promote and encourage an employee-ownership culture among our peers
To become a conduit to communicate ideas between the ESOP participants and the Officers' Committee and the Board of Directors.

Corp ESOP is a member of the ESOP Association Heart of America Chapter. On
August 29, 2006, MMC Corp ESOP was named winner of the chapter "ESOP Company
of the Year" award and will compete for the Associations national "ESOP
Company of the Year" award at the 30th annual conference to be held in
Washington, DC May 15 - 16, 2007.
The "ESOP Company of the Year" is a company that has a commitment to employee ownership as evidenced by its: 1) involvement with the ESOP Association and its programs; 2) communications with employees, and: 3) commitment to employee participation, wealth creation, and individual dignity and worth. MMC Corp is named the 2007 ESOP Association AACE Award Winner. The AACE (Annual Award for Communications Excellence) for our Total Communications Program for Division C companies (501 - 1,000 employees for 2007). Representatives from our ESOP Committee will be presented this exciting award at the Annual ESOP Association Conference in Washington DC this May.
